Jio Platforms Ltd. will open India's largest-ever initial public offering on Oct. 21, a pure fresh issue of up to ₹30,188 crore ($3.2 billion) with no existing shareholders selling. The company is mobilizing Reliance Industries' 420,000 employees and has drawn over $20 billion in anchor interest.

Jio Platforms Ltd. will open its initial public offering on Oct. 21, seeking to raise up to ₹30,188 crore ($3.2 billion) in India's largest-ever IPO. The price band is set at ₹1,065 to ₹1,119 per share, valuing the telecom and digital services arm of Reliance Industries at up to ₹10.3 lakh crore ($108 billion) at the upper end. The issue closes on Oct. 23, with the anchor book opening Oct. 19.

The IPO is structured as a 100% fresh issue of up to 27 crore equity shares, with no offer for sale component, according to company filings. No existing investor is liquidating equity. All net proceeds will be retained by the enterprise. The primary objective is balance sheet optimization: up to ₹27,500 crore will be used to prepay outstanding debt at the core telecom subsidiary Reliance Jio Infocomm. Akash Ambani, managing director of Jio Platforms, said the proceeds will eliminate $3 billion in net debt and that future growth will be funded through free cash flow, which constitutes 30% of annual revenue of about ₹1.5 lakh crore.

The issue has been downsized from an earlier ambition of around ₹37,000 crore, reports indicate.

**Employee Mobilization**

To ensure strong demand, Reliance Industries Chairman Mukesh Ambani is activating the conglomerate's vast workforce. According to people familiar with the matter, Reliance has reached out to most of its nearly 420,000 employees across group companies, encouraging them to invest in the IPO. The company released October salaries about 15 days earlier than usual, giving workers access to funds, though staff were not told a reason.

Jio has 74,822 employees, who can apply through the employee quota. Other Reliance workers can bid in the retail category. The company has reserved up to ₹500 crore of shares for eligible employees at a 5% discount. Additionally, ₹2,500 crore worth of shares are reserved for eligible Reliance Industries shareholders. The number of eligible shareholders has been estimated at around 46.5 lakh.

**Anchor Interest and Early Investor Gains**

The IPO has drawn more than $20 billion in bids from global investors. Fidelity Management & Research, Allianz SE and Capital Group have indicated interest, according to people familiar with the matter.

Jio's 2020 private placement rounds are set to deliver multibagger returns. According to data in the red herring prospectus, shares were allotted at prices between ₹488.34 and ₹549.31. Meta Platforms, through its subsidiary Jaadhu Holdings, invested ₹43,573 crore. Google International LLC invested ₹33,727 crore at ₹549.31 per share. At the upper IPO price of ₹1,119, Meta's holding is worth approximately ₹99,866 crore and Alphabet's about ₹77,387 crore. General Atlantic, which invested ₹6,598 crore, now holds shares valued at ₹13,442 crore. Intel Capital's ₹1,895 crore investment is worth ₹3,859 crore, and Qualcomm's ₹730 crore investment is worth ₹1,487 crore. All have more than doubled their money.

**Pricing and Valuation Context**

Isha Ambani, director of Jio Platforms, said the company priced the issue "accessibly" so that shareholders can create long-term value. "For us, it is most important to be able to price this accessibly so that shareholders who come in can create long-term value along with the growth of Jio Platforms," she said.

Uday Kotak, chairman of Kotak Investment Bank, the IPO's book-running lead manager, said Jio's price-to-earnings ratio stands at 34x, compared with 41x for its nearest rival Bharti Airtel, making the issue relatively attractive. He noted that after listing, the RIL Group will be India's largest conglomerate by listed market cap.

**Implications for Reliance Industries and Bharti Airtel**

Jio's listing could prompt investors to reassess the holding company discount applied to Reliance Industries. RIL's stake in Jio is valued at around ₹6.7 lakh crore. Applying a typical 30% holding discount would reduce that to about ₹4.7 lakh crore, equivalent to roughly 30% of RIL's market capitalization. Jio has been RIL's fastest-growing major business, with EBITDA rising at a 17.5% compound annual growth rate from FY23 to FY26, compared with 14.6% for retail and a decline in oil-to-chemicals.

The listing also puts a spotlight on private equity investors—Silver Lake, Vista Equity Partners, General Atlantic, KKR and TPG—who collectively own close to 12% of Jio Platforms, valued at around ₹1.2 lakh crore. Any future stake sales could increase share supply and potentially weigh on the stock, depending on timing and demand.

For Bharti Airtel, Jio's IPO provides a fresh valuation benchmark for India's telecom sector. However, the scope for a significant re-rating may be limited given that Jio's valuation was cut from around ₹12 lakh crore to ₹10.3 lakh crore, reports indicate.

**Equity Dilution and Structure**

The fresh issue will expand total issued shares from 89,39,03,0830 to 92,09,03,0830, resulting in equity dilution of approximately 2.9%. Prior to the issue, parent entity Reliance Industries holds a 66.43% equity stake in Jio Platforms.
